Texas Education Agency Proclamation 2017/IMRA 2024 Review Website Terms
- You are being provided with access to textbooks, course materials, tools and software (collectively “Licensed Materials”) solely for the purposes of the Texas Education Agency Proclamation 2017 and/or Instructional Materials Review and Approval (IMRA) 2024. You are granted a revocable, non-exclusive, non-transferable, limited license to use the Materials solely for Your and Your school’s (if applicable) evaluation of the Licensed Materials during Proclamation 2017 and/or IMRA 2024;
- Access to the Site and the Licensed Materials shall be available for the term of Proclamation 2017 and/or IMRA 2024 and thereafter at the sole discretion of Cosenza & Associates, LLC. Notwithstanding the foregoing, should Cosenza & Associates, LLC, cease its participation in Proclamation 2017 and/or IMRA 2024, or should You violate these terms, Your access to this Site and the Licensed Materials may be immediately terminated;
- The Licensed Materials shall at all times remain the property of Cosenza & Associates, LLC. Cosenza & Associates, LLC, shall retain all common law, statutory, intellectual property, copyright, trademarks, service marks, and other reserved rights in the Licensed Materials. You agree that Cosenza & Associates, LLC, shall be the sole owner of all intellectual property rights in any improvements and or modifications to the Licensed Materials which You may contribute. Your access and use of the Site and Licensed Materials constitutes Your agreement to assign to Cosenza & Associates, LLC, all intellectual property rights in all such improvements or modifications and will You will cooperate with Cosenza & Associates, LLC, to secure any such rights;
- You have sole responsibility for: (a) determining whether the Licensed Materials will achieve the results desired; (b) procuring, installing, and operating computers and operating systems to run the Licensed Materials; (c) providing a proper environment and proper utilities for the hardware on which the Licensed Materials operate and (d) preventing unauthorized use and copying of the Licensed Materials, including by school employees, faculty, and students. You shall permit and reasonably cooperate with efforts by Cosenza & Associates, LLC, to monitor, review or audit usage of the Site and Licensed Materials for purposes of assessing Customer’s compliance with this Agreement; and
- You agree that You have full authority to enter into these terms on behalf of Yourself. You further agree that You will not Yourself, or through any entity or other third party: copy, modify, distribute, sell, lease, license, sublicense, or disseminate the Site or Licensed Materials (electronically or otherwise); or modify, alter, disassemble, reverse engineer or otherwise attempt to translate the Licensed Materials or discover the source code for the Licensed Materials, in whole or in part.
